These Terms of Service (“Terms”) are a binding agreement between you and DV Ocean Inc. (“DV Ocean,” “we,” “us,” or “our”) and govern your access to and use of the DV Ocean service (the “Service”). By creating an account or using the Service, you accept these Terms. If you do not agree, do not use the Service.

This document is adapted from the Common Paper Cloud Service Agreement standard (commonpaper.com), reviewed under Cooley LLP’s open template, with material modifications for the AI video-assembly use case. It is provided for transparency and does not constitute legal advice.

1. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a binding contract to use the Service. By creating an account, you represent that you meet these requirements and that the information you provide is accurate and complete.

You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at legal@aivideoediting.com if you suspect unauthorized access.

2. What the Service is

DV Ocean is an AI assembly engine for faceless YouTube-style videos. You upload an audio voiceover (or, in some workflows, a script). Our pipeline transcribes the audio, breaks it into scenes, and then uses machine-learning models (including Google’s Gemini family and SigLIP visual-retrieval models) to search a large pre-existing library of stock footage sourced from public-domain archives and licensed stock providers (e.g., Pexels, Unsplash, Wikimedia Commons, NASA, NARA, Europeana). The Service then automatically assembles the matched clips into a finished video timed to your voiceover.

DV Ocean is not a pixel-generation tool. We do not generate photorealistic synthetic video of real people from prompts. The vast majority of frames in your finished video are real, pre-existing stock clips that we did not create. A small subset of scenes may use AI-generated still imagery (where library coverage is insufficient) or AI-synthesized text overlays; these are clearly identifiable in the pipeline.

3. How DV Ocean works — and what that means for you

Because the Service is an assembly engine and not a pixel generator, the legal allocation of responsibility is different from prompt-to-video tools. Please read this section carefully; it is the most important part of these Terms.

3.1 Your audio. Your responsibility.

You are 100% responsible for the audio, voiceover, music, scripts, and any other materials you upload to the Service (“User Content”). You represent and warrant that, for every piece of User Content you upload, you either (a) own it outright, (b) hold a valid license that permits the upload and the resulting commercial publication of the assembled video, or (c) have the lawful right (such as a statutory exception, public-domain status, or documented permission from every rights-holder, including any voice talent, songwriter, publisher, performer, and producer) to use it for the purpose you intend.

You also represent and warrant that your User Content does not defame any person, violate anyone’s privacy, publicity, or moral rights, infringe any trademark, or breach any non-disclosure obligation you owe. DV Ocean does not verify ownership of uploaded audio. If a third party claims you infringed their rights through audio you uploaded, that claim is solely between you and that third party (subject to our DMCA policy below).

3.2 Your assembled video — what you get and what you don’t

When the Service successfully renders a video for you (the “Output Video”), DV Ocean grants you a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to publish, distribute, monetize, and commercially exploit that Output Video on YouTube, social media, advertising platforms, your own websites, broadcast, and any other channel of your choosing, for the lifetime of the Output Video, subject to the rest of these Terms.

That license covers the compiled, edited final video as a whole. It does not transfer to you ownership of, or any standalone rights in, the underlying stock clips, music beds, public-domain footage, AI-generated still imagery, or library assets that we sourced and assembled to make your video. You may not, for example:

  • Extract an individual stock clip from an Output Video and re-distribute it on its own (e.g., as a clip pack, a stock-footage product, or a training-data dataset);
  • Sub-license the underlying library assets to third parties outside the context of the assembled video;
  • Claim copyright or exclusive rights in the underlying stock clips themselves — the original creators and our upstream licensors retain those rights.

Some stock providers we draw from require attribution. The Service surfaces required attributions in the project workspace; you agree to preserve them where the upstream license requires it (for example, when an Unsplash photo or a Wikimedia Commons clip is used).

3.3 Editorial release — you are the final editor

The Service’s scene-selection, ordering, juxtaposition, on-screen text, and clip timing are automated and probabilistic. Large language and retrieval-augmented models make best-effort guesses about which stock clip best matches each sentence of your voiceover. Those guesses are sometimes wrong, sometimes literal, sometimes contextually awkward, and occasionally embarrassing — for example, a scene about “the bank’s collapse” might be paired with footage of a riverbank, or a scene about a public figure might be paired with the wrong person who looks similar.

You acknowledge and agree that you, not DV Ocean, are the editorial publisher of the Output Video. You must review every Output Video in full, with audio, before publishing it. You are solely responsible for:

  • Any inappropriate, unintended, defamatory, misleading, offensive, or contextually awkward pairing of stock footage with your voiceover;
  • Any factual inaccuracy or hallucination introduced by AI-generated text, captions, or on-screen overlays;
  • Any claim that the Output Video harms, misrepresents, or invades the privacy of any person who happens to appear in a stock clip the AI selected;
  • Compliance of the Output Video with the rules of the platform on which you publish it (YouTube monetization policy, advertising disclosure rules, FTC endorsement guidelines, election-period rules, etc.).

DV Ocean disclaims all liability for editorial choices made automatically by the pipeline. The Service provides tools to swap clips, edit text, and re-run scenes; making use of those tools (or choosing not to) is part of your editorial review.

3.4 Our license to your User Content (so we can run the Service)

You grant DV Ocean a worldwide, non-exclusive, royalty-free license to host, store, transcribe, process, transmit, display, cache, and otherwise use your User Content solely as needed to operate, secure, support, and bill you for the Service, render Output Videos, prevent abuse, comply with law, and respond to legal process. This license terminates when you delete the relevant content, except where retention is required by law or for security and audit logs.

3.5 No model training on your content

We do not use your User Content or your Output Videos to train DV Ocean’s own AI models or to fine-tune any third-party model. We may use aggregated, de-identified metrics about pipeline performance (e.g., average render duration, scene-match confidence distributions) to improve the Service.

4. Acceptable use

You agree that you will not:

  • Upload, generate, or publish content that infringes any third party’s copyright, trademark, publicity, privacy, or other right;
  • Use the Service to produce sexually explicit material depicting any real, identifiable person without their explicit, documented consent, or any sexual content depicting minors;
  • Generate deceptive deepfakes, voice clones, impersonations, or synthetic media of real, identifiable persons without their explicit consent, or with the intent to deceive viewers about authenticity in a way that causes harm (financial, reputational, political, or otherwise);
  • Use the Service to harass, threaten, defame, dox, or incite violence against others;
  • Generate content that promotes terrorism, violent extremism, child sexual abuse material, or content that glorifies or encourages self-harm;
  • Attempt to reverse-engineer the Service, extract our model weights or library metadata at scale, scrape outputs, circumvent rate limits or quotas, or otherwise abuse the infrastructure;
  • Use the Service in any manner that violates applicable law, including export controls, sanctions regulations, and platform-specific rules (e.g., YouTube’s Community Guidelines).

We reserve the right to suspend or terminate accounts that violate these rules and to remove offending content without notice. Copyright complaints are handled per our DMCA policy.

5. AI-generated content disclaimer

Output Videos are produced by automated systems and may contain factual errors, hallucinated references, biased framings, mis-identifications, generation artifacts, or other AI-typical defects. We make no representations about accuracy, originality, truthfulness, novelty, or fitness for any particular purpose. Re-stating the rule in Section 3.3: you must review every Output Video before publishing it.

6. Third-party content and licenses

Output Videos may incorporate stock footage, images, music, or other materials sourced from third-party providers (e.g., Pexels, Unsplash, Wikimedia Commons, NASA, NARA, Europeana, DVIDS, and other public-domain or licensed archives). Your use of the Output Video is also subject to the original provider’s license terms, which may require attribution, prohibit certain uses (e.g., depiction in a defamatory context), or impose other conditions. You are responsible for complying with those upstream terms.

7. Plans, billing, and payments

7.1 Subscriptions

Paid plans are billed in advance through our payment processor, Paddle. By subscribing, you authorize us (via Paddle) to charge your chosen payment method the applicable subscription fee on a recurring basis (monthly or annually, per the plan you selected) until you cancel.

7.2 Usage limits and concurrency

Each plan includes a defined monthly allowance of generated minutes and a maximum number of simultaneous renders. Unused allowance does not roll over month-to-month. Renders that would exceed your monthly allowance or your concurrency cap may be queued, held until the next cycle, or rejected.

7.3 Refunds

DV Ocean offers a 7-day refund window for unused subscriptions: if you subscribed within the last 7 days and have generated zero video minutes, we will refund the most recent charge in full. After day 7 or once any render minutes have been consumed, all sales are final— we do not issue refunds, prorated or otherwise, for: (a) renders that completed successfully but which you are dissatisfied with on editorial or stylistic grounds; (b) renders that failed because of inputs you provided (e.g., poor audio quality, ambiguous scripts, foreign accents the transcriber misread); or (c) unused allowance at the end of a billing cycle. If a render fails because of a verifiable defect in the Service, we will, at our discretion, credit you the equivalent allowance. See our Refund Policy for the full procedure.

7.4 Taxes

Quoted prices exclude applicable sales tax, VAT, GST, or similar taxes, which Lemon Squeezy may collect on our behalf where required by law.

7.5 Price changes

We may change subscription prices on prospective renewals with at least 30 days’ notice by email. Your continued use of the Service after the new price takes effect constitutes acceptance. Annual plans are locked in at the price you paid for the duration of the annual term.

7.6 Cancellation

You can cancel any time from your account billing portal. Cancellations take effect at the end of the then-current billing period; you retain access through that period.

8. Service availability and modifications

We strive for high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time. We may modify, suspend, or discontinue features at any time, with reasonable advance notice for material reductions in functionality affecting paid plans.

9. Termination

You may terminate your account at any time by contacting legal@aivideoediting.com or via the in-app account settings. We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, posed a security or legal risk to the Service or other users, or failed to pay fees when due. Upon termination, your right to access the Service ends immediately. Sections of these Terms that by their nature should survive will survive, including ownership, licenses granted, disclaimers, limitations of liability, indemnities, and dispute resolution.

10. Disclaimer of warranties

THE SERVICE AND ALL OUTPUT VIDEOS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES; IN THOSE JURISDICTIONS THE FOREGOING DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DV OCEAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, ANY OUTPUT VIDEO, ANY EDITORIAL CHOICE MADE BY THE PIPELINE, OR ANY THIRD-PARTY CLAIM RELATING TO YOUR USER CONTENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless DV Ocean and its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content (including any claim that audio or scripts you uploaded infringe someone’s rights); (b) your publication, distribution, or monetization of an Output Video (including any claim about scene selection, juxtaposition, or factual content in the assembled video that you failed to catch in editorial review); (c) your use of the Service in violation of these Terms or applicable law; or (d) your infringement of any third-party rights.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you and DV Ocean each consent to the personal jurisdiction of those courts.

14. DMCA

We respond to valid notices of copyright infringement under the Digital Millennium Copyright Act. See our DMCA policy for the notice and counter-notice procedure.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email and update the “Last updated” date at the top of this page at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DV Ocean regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may freely assign them in connection with a merger, acquisition, or sale of assets.
